Terms of Service

1. Acceptance of Terms & Eligibility

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Core Labs ("Core Labs," "we," "us," or "our") governing your access to and use of Molly AI, including all associated websites, applications, APIs, SDKs, command-line tools, and services (collectively, the "Service").

By accessing, registering for, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, effective as of 16 July 2026. If you do not agree to these Terms, you must not access or use the Service.

1.1 Eligibility

You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that:

  • You are at least 18 years old and have full legal capacity to enter into a binding contract;
  • You are not barred from using the Service under the laws of the Republic of Panama, your country of residence, or any other applicable jurisdiction;
  • You are not located in, and are not a national or resident of, any jurisdiction subject to comprehensive sanctions or embargoes that would prohibit your use of the Service;
  • If you use the Service on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Description of the Service

Molly AI is a sovereign multi-agent AI orchestration platform developed and operated by Core Labs. The Service includes, without limitation:

  • Chat: conversational AI interfaces powered by single- and multi-agent orchestration;
  • Training Studio: tools for configuring, customizing, and training AI agents;
  • Creative Studio: creative content workflows and tooling;
  • Generative media: image, video, and voice generation capabilities;
  • Developer tools: an OpenAI-compatible API, a software development kit (SDK), and a command-line interface (CLI).

We may add, modify, suspend, or discontinue any feature or component of the Service at any time. Certain features may be subject to additional terms, usage limits, or eligibility requirements, which will be presented to you at the point of use and are incorporated into these Terms by reference.

3. Accounts & Security

3.1 Account Registration

To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You may not create an account using false identity information, on behalf of someone else without authorization, or if you have previously been suspended or banned from the Service.

3.2 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials, API keys, and access tokens;
  • All activities that occur under your account, whether or not authorized by you;
  • Promptly notifying us at [email protected] of any unauthorized access, suspected compromise, or security breach relating to your account.

Core Labs is not liable for any loss or damage arising from your failure to safeguard your credentials. You must not share, sell, or transfer your account or API keys to any third party without our prior written consent.

4. Prepaid Tokens, Subscriptions & Billing

4.1 Prepaid Model

The Service operates on a prepaid basis. Access to compute and generative capabilities is purchased in advance through:

  • Token Packs: prepaid usage tokens that are consumed as you use the Service, with consumption rates varying by feature, model, and usage type; and
  • Annual Subscription Plans: prepaid plans that may include token allocations, feature access, and usage entitlements for the applicable subscription period.

Tokens are consumed per usage as metered by our systems, and our usage records are authoritative absent manifest error. Tokens have no cash value, are not legal tender, are not redeemable for money, and may not be transferred, resold, or exchanged outside the Service. Unused tokens may be subject to expiration as specified at the time of purchase or in your plan details.

4.2 Payment Methods

We accept payment in fiat currency and in cryptocurrency, specifically Bitcoin (BTC) and supported EVM-compatible stablecoins. Additional payment methods may be added or removed at our discretion.

4.3 Cryptocurrency Payments

You acknowledge and agree that:

  • Cryptocurrency payments are final and non-reversible. Once a blockchain transaction is confirmed, it cannot be reversed, cancelled, or charged back;
  • You are solely responsible for sending the correct amount, of the correct asset, on the correct network, to the correct address. Funds sent to an incorrect address, on an unsupported network, or in an unsupported asset may be permanently lost, and Core Labs has no obligation to recover or credit such funds;
  • You bear all network fees ("gas") and any exchange-rate or price volatility risk associated with cryptocurrency transactions;
  • Crypto payments are credited only upon the number of network confirmations we require.

4.4 Refunds

Except where required by applicable law, all purchases of token packs and subscriptions are final and non-refundable. Purchases made with cryptocurrency are non-refundable in all cases to the extent permitted by law.

4.5 Pricing Changes

We may change our prices, token consumption rates, plan structures, and payment terms from time to time. We will provide reasonable advance notice of material pricing changes via the Service, email, or our website. Price changes will not retroactively affect tokens or subscription periods already paid for, but will apply to subsequent purchases and renewals. Your continued use of the Service after a pricing change takes effect constitutes acceptance of the new pricing.

4.6 Taxes

Prices are exclusive of taxes unless expressly stated otherwise. You are responsible for all applicable taxes, duties, levies, and government charges arising from your purchases and use of the Service (excluding taxes on Core Labs' net income). Where we are required to collect taxes, they will be added to your invoice or charge. You are also solely responsible for any tax obligations arising from your use of cryptocurrency, including capital gains reporting in your jurisdiction.

5. Acceptable Use & Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not, and must not permit or assist any third party to:

5.1 Illegal & Harmful Use

  • Use the Service to violate any applicable law, regulation, or third-party right;
  • Use the Service to engage in, promote, or facilitate fraud, money laundering, terrorist financing, sanctions evasion, or other financial crime;
  • Use the Service to harass, threaten, defame, stalk, exploit, or otherwise harm any person, including minors.

5.2 Abuse & Circumvention

  • Abuse, overload, or disrupt the Service, or interfere with other users' access to it;
  • Circumvent, evade, or attempt to evade rate limits, usage quotas, token metering, safety systems, or access controls;
  • Create multiple accounts, use automated means, or rotate credentials to evade limits, bans, or restrictions;
  • Probe, scan, or test the vulnerability of the Service or breach any security or authentication measures without our express written authorization;
  • Resell, sublicense, or provide access to the Service to third parties except as expressly permitted by us in writing.

5.3 Reverse Engineering

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, model weights, training data, or underlying architecture of the Service, except to the extent such restriction is prohibited by applicable law;
  • Use the Service or its outputs to train, develop, or improve a competing AI model or service, except as expressly permitted by us in writing.

5.4 Disallowed Content

You must not use the Service to generate, request, or distribute content that:

  • Constitutes or facilitates child sexual abuse material (CSAM) or the sexualization of minors in any form;
  • Provides instructions for creating weapons, explosives, or chemical, biological, radiological, or nuclear agents;
  • Facilitates malware, phishing, hacking, or other cyberattacks;
  • Constitutes non-consensual intimate imagery, or impersonates real individuals in a deceptive or harmful manner (including deceptive deepfakes);
  • Incites violence, terrorism, or hatred against individuals or groups;
  • Violates our published content and usage policies, as updated from time to time.

We reserve the right to monitor for abuse, apply automated safety filters, and remove content or restrict usage that violates this Section. Violation of this Section may result in immediate suspension or termination of your account without refund.

6. AI Output Disclaimer

The Service uses artificial intelligence and machine learning to generate text, images, video, audio, code, and other content ("Outputs"). You acknowledge and agree that:

  • Outputs may be inaccurate. AI-generated content may contain errors, omissions, hallucinations, biases, or outdated information, and may not reflect real facts, persons, or events;
  • Outputs are not professional advice. Nothing generated by the Service constitutes legal, financial, investment, tax, medical, psychological, or other professional advice, and no professional-client relationship is created by your use of the Service;
  • You are responsible for verification. You must independently review and verify Outputs before relying on them, and you assume all risk arising from your use of or reliance on any Output;
  • You should consult a qualified professional before making legal, financial, medical, or other consequential decisions;
  • Outputs may be similar or identical to Outputs generated for other users, given the probabilistic nature of AI models;
  • You are solely responsible for how you use, publish, and distribute Outputs, including compliance with applicable law and third-party rights.

7. Intellectual Property

7.1 Your Inputs and Outputs

As between you and Core Labs, and subject to these Terms and applicable law, you retain all rights, title, and interest you hold in the content you submit to the Service ("Inputs") and, to the extent permitted by applicable law, in the Outputs generated in response to your Inputs. You grant Core Labs a worldwide, non-exclusive, royalty-free license to use, process, store, reproduce, and transmit your Inputs and Outputs solely as necessary to operate, provide, secure, and improve the Service and to comply with law.

You represent and warrant that you have all rights necessary to submit your Inputs and that your Inputs do not infringe any third-party rights.

7.2 Core Labs Property

Core Labs and its licensors retain all rights, title, and interest in and to the Service, including the platform, software, models, model weights, APIs, SDK, CLI, orchestration technology, documentation, designs, trademarks, logos, and all related intellectual property. Except for the limited right to use the Service as permitted by these Terms, no license or rights are granted to you by implication, estoppel, or otherwise. "Molly AI," "Core Labs," and associated marks may not be used without our prior written consent.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant Core Labs a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without obligation or compensation to you.

8. Third-Party Models & Providers

The Service may route requests to, integrate with, or rely upon third-party AI models, infrastructure providers, payment processors, and other services ("Third-Party Providers"). You acknowledge and agree that:

  • Your Inputs may be processed by Third-Party Providers as necessary to fulfill your requests, subject to our Privacy Policy;
  • Use of certain models or features may be subject to additional terms or usage policies of the applicable Third-Party Provider, which you agree to comply with;
  • Core Labs does not control and is not responsible for the availability, accuracy, performance, or policies of Third-Party Providers;
  • We may add, remove, or substitute Third-Party Providers and models at any time without notice.

9. Privacy

Our collection, use, and disclosure of personal data in connection with the Service are described in our Privacy Policy, which is incorporated into these Terms by reference. 10. Warranties Disclaimer & Limitation of Liability

10.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. CORE LABS DOES NOT WARRANT THAT THE SERVICE WILL BE SECURE, AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR FREE OF DEFECTS, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL CORE LABS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
  • CORE LABS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CORE LABS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100);
  • CORE LABS SHALL HAVE NO LIABILITY FOR LOSSES ARISING FROM CRYPTOCURRENCY TRANSACTIONS, BLOCKCHAIN NETWORK FAILURES, WALLET ERRORS, PRICE VOLATILITY, OR YOUR RELIANCE ON ANY OUTPUT.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages; in such jurisdictions, the above limitations apply to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Core Labs and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Service or any Outputs;
  • Your Inputs and any content you generate, publish, or distribute;
  • Your violation of these Terms or any applicable law or regulation;
  • Your infringement or violation of any third-party right, including intellectual property, privacy, or publicity rights.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

12. Suspension & Termination

12.1 By Core Labs

We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if:

  • You breach these Terms, our content policies, or applicable law;
  • We reasonably suspect fraud, abuse, security risk, or unauthorized use associated with your account;
  • We are required to do so by law, regulation, or governmental order;
  • We discontinue the Service or any part of it.

12.2 By You

You may stop using the Service and close your account at any time by contacting [email protected].

12.3 Effect of Termination

Upon termination: (a) your right to access the Service ceases immediately; (b) unused tokens and remaining subscription value are forfeited without refund where termination results from your breach of these Terms, and otherwise are handled as required by applicable law; and (c) provisions of these Terms that by their nature should survive termination (including Sections 4, 6, 7, 10, 11, and 13) shall survive.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms and any dispute arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict-of-laws principles.

13.2 Dispute Resolution

Before initiating formal proceedings, you agree to first contact us at [email protected] and attempt in good faith to resolve any dispute informally for at least thirty (30) days. Any dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the competent courts of Panama City, Republic of Panama, and you consent to the personal jurisdiction of such courts. To the extent permitted by law, each party waives any right to participate in a class action or class-wide arbitration, and disputes shall be brought in an individual capacity only.

14. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by posting the updated Terms on our website with a revised effective date. Changes take effect on the stated effective date. Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service before they take effect.
